We draft the Articles of Association and Form 1, Form 18 and Form 19, then submit them to the ROC once you have approved them.

Your certificate and everything else
The Incorporation Certificate arrives printed and digital. Business Ready and Go Global also include the TIN, the director seal and the bank document set.

How much does it cost to register a private limited company in Sri Lanka?
The registration-only package at BR.LK is Rs. 34,900. Business Ready, which adds the TIN certificate and the full bank account document set, is Rs. 45,970. Go Global, which also includes a USA LLC, is Rs. 98,800. Registrar of Companies fees and stamp duty are included in these prices — there are no charges added later.
How long does company registration take?
Usually 3 to 5 working days. Name approval takes 1 to 2 days and the ROC filing another 2 to 3 days. Business Ready and Go Global include priority processing.
How many people do I need to register a company?
Under the Companies Act No. 7 of 2007 you need at least one director and one shareholder, and the same person can be both. So you can start a private limited company on your own.
What documents do I need to send?
NIC or passport copies for the directors and shareholders, the registered office address, three company name options, and a short description of the business activity. Scanned copies sent over WhatsApp are fine.
What is BO Registration and is it mandatory?
Beneficial Ownership registration records the real owners of the company with the ROC under Gazette 2480/48. It is mandatory for every company, which is why it is included in all of our packages.
What do I need to open a corporate bank account?
A certified Incorporation Certificate, certified Articles of Association, Form 1, a board resolution and the director seal. The Business Ready package prepares all of these in bank-ready form.
Why would I need both a Sri Lankan company and a USA LLC?
You need the Sri Lankan company for local clients, tenders and bank facilities. A USA LLC helps you get paid through platforms like Stripe, Wise and Payoneer and to invoice international clients. The Go Global package includes both.
What do I need to do after registration?
File an Annual Return with the ROC once a year and file tax returns under your TIN. If a director or the registered address changes you must notify the ROC within 20 days. We remind you ahead of these deadlines.
